Incorporation of a Private Limited Company in Malaysia

 

If you have decided to form a private limited company (“Company”) in Malaysia, here are some basic useful information for forming a Company:

Basic Requirements

  • At least one (1) director who is at least eighteen (18) years of age and ordinarily resides in Malaysia by having a principal place of residence in Malaysia.
  • At least one (1) promoter who is at least eighteen (18) years of age.
  • The Company shall within 30 days after incorporation appoint a Company Secretary who is a member of the prescribed professional bodies or licensed by the Companies Commission of Malaysia (“CCM”).
  • The Company shall have a registered office in Malaysia to which all communications and notices may be addressed and it shall be open and accessible to the public during ordinary business hour. It is normal practice in Malaysia to have the registered office set at the Company Secretary’s office.  

Procedures of Incorporation of a Company

  1. To conduct search on availability of a proposed name and if available, apply for reservation of the proposed name.
  2. If the proposed name is approved by CCM, the name will be reserved for a period of 30 days or longer date as allowed by CCM upon application together with the prescribed fee (maximum 180 days) from the date of approval.
  3. Once the name is approved, to submit an e-form together with a prescribed fee to CCM within 30 days from the date of approval of the proposed name, assuming no extension of name reservation is made.
  4. The required information for the incorporation are as follows:
  • The proposed name of the company;
  • The proposed type of business;
  • The registered office address;
  • The business address;
  • Complete detail of director(s) and shareholder(s);
  • Declaration from the director(s) or shareholder(s) that he/she is not an undischarged bankrupt either in or outside Malaysia and has not been convicted of any offence whether in or outside Malaysia.

Once CCM is satisfied that all information provided is complete and complied with the required procedures, a Notice of Registration will be issued which is the conclusive evidence of the incorporation of the Company.

The Certificate of Incorporation will only be issued by CCM upon application together with the prescribed fee.
